首先注冊(cè)一家主體運(yùn)營(yíng)公司，合肥三只羊創(chuàng)業(yè)投資有限公司，然后再注冊(cè)一家控股公司合肥領(lǐng)頭羊文化傳媒有限公司，小楊哥占股51%，大楊哥占股49%那為什么不直接由大小楊哥直接持股主體運(yùn)營(yíng)公司呢？這樣設(shè)計(jì)有三個(gè)好處：

Firstly, register a main operating company, Hefei Three Sheep Entrepreneurship Investment Co., Ltd., and then register a holding company, Hefei Leading Sheep Culture Media Co., Ltd., with Xiaoyangge holding 51% of the shares and Dayangge holding 49%. 主體公司向控股公司分錢的時(shí)候不用交20%股東分紅所得稅，如果大小楊哥直接持股，就要交20%的稅，他們把這些錢放在控股公司里，可以買車買樓再投資。比方說他們就投資了一家安徽三只羊供應(yīng)鏈服務(wù)有限公司，來為他們做選品和供應(yīng)鏈的把控

When the main company distributes money to the holding company, it does not need to pay a 20% shareholder dividend income tax. If Mr. and Ms. Yang directly hold shares, they need to pay a 20% tax. They can invest the money in the holding company by buying cars and buildings. 如果大小楊哥直接持股主體運(yùn)營(yíng)公司，那么每個(gè)人只能占到33%左右的股份，如果被別有用心的人離間，很多事情就不好控制，而這樣布局可以通過控制控股公司的方式來控制主體運(yùn)營(yíng)公司，而且他們一家人有什么意見都可以在控股公司炒，不會(huì)影響到主體公司的

If they are separated by someone with ulterior motives, many things are difficult to control. 3 Dividend Reverse Investment

因?yàn)橹黧w運(yùn)營(yíng)公司注冊(cè)資本金較大3000萬，可能沒有一次性實(shí)繳，等主體運(yùn)營(yíng)公司賺到錢之后，再分紅到控股公司里，控股公司再反投回來，夯實(shí)主體運(yùn)營(yíng)公司的注冊(cè)資本金，這樣就起到了防火墻的作用，為了更好的開展業(yè)務(wù)，他們沒有直接用主體公司在運(yùn)營(yíng)，而是在業(yè)務(wù)層面投資了5家子公司，這樣設(shè)計(jì)的好處有三個(gè)：

三融資，你在哪個(gè)方面有資源，看好哪個(gè)項(xiàng)目的發(fā)展，都可以直接投資進(jìn)來，如果讓你直接投資主體公司，一來這個(gè)體量比較大，你可能投不起，另外大公司都會(huì)不斷的去做投資，可能會(huì)有戰(zhàn)略性的虧損，你不好把控，你可以直接投資到獨(dú)立的子公司，這樣既能夠更好的融資和整合資源，作為投資人也更容易分到錢
