鎖定時間就是我們經(jīng)常聽到的鎖定期,例如一年不能退,二年不能退,或者3年、5年不能退。同時,如果我們遇到鎖定期,對方一定要退出,那就要約定退股不退錢,負(fù)虧不負(fù)盈,簡單說就是公司虧了需要承擔(dān)完虧損再走,如果賺錢了就可以原價退出,所以鎖定期的退出一定要是個懲罰性的條款。

例如:能出技術(shù)的,需要約定清楚能為公司出什么研發(fā)還是能申請什么專利;能出渠道的,要約定清楚能給公司簽多少個渠道,能開發(fā)多少家經(jīng)銷商或者供應(yīng)商,一定要把這些資源、渠道、技術(shù)、管理等轉(zhuǎn)化為公司實際可以評判看得見的成果,完成了才可以給相應(yīng)的股權(quán),不要一進(jìn)來就馬上轉(zhuǎn)讓股權(quán),畢竟“請神容易送神難”。
