只分利潤(rùn)不分權(quán)(只分有期限的利潤(rùn),不轉(zhuǎn)讓股權(quán)所有權(quán))

1虛擬股票(權(quán)):
1. Virtual stock (rights):
①實(shí)現(xiàn)業(yè)績(jī)目標(biāo),享受分紅權(quán)增值收益權(quán),但沒有所有權(quán)和表決權(quán)。
① Achieve performance goals and enjoy the right to increase profits through dividends, but without ownership or voting rights.
②短期激勵(lì)效果較好,長(zhǎng)期效果不明顯。

③公司內(nèi)部派發(fā)一定數(shù)量的虛擬股權(quán)給公司骨干員工,不需要員工出資。

②分為購(gòu)買型和虛擬型。

③由于賬面價(jià)值增值權(quán)沒有利用資本市場(chǎng)的放大作用,每股凈資產(chǎn)的增加幅度有限,所以激勵(lì)對(duì)象的收益不會(huì)有爆發(fā)性增長(zhǎng),因此是適用于現(xiàn)金流比較充裕且凈資產(chǎn)增值較快的企業(yè)。

②期權(quán)實(shí)質(zhì)上是將權(quán)利和義務(wù)分開進(jìn)行定價(jià),使得權(quán)利受讓人在規(guī)定期限內(nèi)有權(quán)行權(quán)或放棄行權(quán),但公司作為義務(wù)方必須兌現(xiàn)承諾。
② Options essentially price rights and obligations separately, allowing the transferee of the right to exercise or waive the exercise within a specified period of time, but the company, as the obligor, must fulfill its commitment.
